Position Overview
Silver Lake is seeking a Paralegal who will provide essential legal support across the firm’s investment and fund management activities. Core responsibilities will include contract management, M&A transaction support, fund documentation, and corporate governance. The role requires strong organizational skills, meticulous attention to detail, and the ability to coordinate effectively across internal teams, outside counsel, and other external parties.

Responsibilities
Fund and Investor Documentation
- Support preparation, review, and maintenance of fund documents, including LPAs, subscription agreements, and side letters.
- Track and organize investor documentation and transfers.
- Coordinate execution, filing, and recordkeeping of legal documents with fund administrators and external counsel.
- Maintain corporate records for fund entities and prepare routine corporate filings.
M&A and Transaction Support
- Assist with legal due diligence procedures and document collection.
- Support execution of NDAs, confidentiality agreements, access letters, engagement letters, and closing documentation.
- Compile and maintain complete closing binders and deal checklists for each transaction.
- Track key terms (e.g., side letter requirements, exercise deadlines, lapse of transfer restrictions, etc.) and update precedent grids across deals.
- Assist with the preparation of regulatory applications (and similar) for transaction-related licensing requirements for SL entities and individuals, and ongoing maintenance of licensing requirements related to active portfolio companies.
Contracting and Vendor Management
- Support preparation of standard legal agreements such as NDAs, consulting agreements, vendor agreements, and engagement letters.
- Maintain a centralized repository of contracts and track key terms (renewals, expirations, payment obligations).
Corporate Governance
- Maintain governance documentation for fund entities, including board and shareholder resolutions, consents, and minutes.
- Prepare and file organizational documents, good standing certificates, and annual reports across jurisdictions.
- Assist with entity formation, dissolution, and ongoing maintenance.
- Maintain up-to-date corporate organizational charts.
Other Legal Support
- Support litigation and dispute resolution tracking, including document preservation and coordination with counsel.
- Support growth and maintenance of legal department databases, precedent libraries, and knowledge management tools.
- Assist in evaluating new technology tools that could enhance efficiencies in the legal department.
- Provide ad hoc legal support to investment professionals and senior management.
- Evaluate operational processes for potential efficiency enhancements and support implementation.
Requirements
- Bachelor’s degree required; paralegal certification preferred.
- 5+ years of paralegal experience at a law firm required, and additional in-house experience at a private equity firm, hedge fund, or asset management firm is a plus.
- Strong organizational and project management skills, with the ability to prioritize multiple deadlines and improve processes.
- Familiarity with legal drafting, signature management, and corporate recordkeeping.
- Excellent written and verbal communication skills.
- High integrity, discretion, and professionalism.
