Paradigm is a San Francisco-based investment firm focused on crypto and frontier technologies across the globe, with over $10 billion in assets under management. We make investments in companies and protocols at all stages, ranging from early-stage venture financing rounds to growth equity to liquid token assets.
Paradigm was co-founded in 2018 by Matt Huang (former Partner at Sequoia Capital) and Fred Ehrsam (co-founder of Coinbase). Since then, we’ve been hard at work building a world-class team of brilliant mutants to investigate the world’s most beautiful technical problems. Our research-driven approach helps us build relationships with founders and entrepreneurs, but it also reflects our broader goal of growing the crypto ecosystem globally and accelerating crypto’s ability to advance the world we live in. We are currently seeking to hire a key member of the Legal team to support fund operations, venture financing rounds, commercial agreements, and a broad array of other legal work. The role will report to the Associate General Counsel on the team.
Responsibilities
- Support equity and token venture financings from term sheet to close, including management of outside counsel.
- Support legal efforts regarding the formation, structuring, and launch of new investment vehicles.
- Draft, review, and negotiate a wide range of commercial agreements.
- Assist portfolio companies with corporate governance needs, including board resolutions, stockholder consents, and related material.
- Provide practical, creative, and business-oriented advice in a fast-paced, high-performing environment.
- Assist legal efforts on novel issues and special projects.
Requirements
- J.D. and active membership in at least one U.S. state bar.
- Minimum of 4 years of legal practice, ideally with both law firm and in-house experience.
- Demonstrated passion for crypto or crypto-native experience.
- Strong ability to communicate complex legal concepts to non-legal stakeholders.
- Action-oriented, with sharp attention to detail.
- Thrives in a fast-paced working environment with rapidly shifting priorities and needs.
- Intellectually curious, adaptable, and growth-minded.
- Collaborative and team-oriented.
- Strong familiarity with private fund structures (venture capital, hedge funds), including experience with fund formation, LP agreements, and the regulatory regime.
- Thinks creatively in ambiguous environments and solves problems beyond the standard playbook.
