The Role

Standard Crypto is seeking its first in-house attorney to build and lead legal capabilities across the firm. This role will report directly to the Co-Founder, Adam Goldberg and will cover a broad range of legal, regulatory, and strategic matters related to the firm’s investments, portfolio, and operations. The ideal candidate is an entrepreneurial, pragmatic lawyer who is comfortable navigating novel legal issues in the rapidly evolving crypto ecosystem.

Responsibilities

  • Manage legal and strategic matters related to the firm’s investments, portfolio companies, transactions, and operations.
  • Negotiate and structure investment transactions
  • Perform legal and regulatory diligence on potential investments
  • Coordinate deal closing process among the investment and finance teams
  • Support investment partners on all legal matters – review corporate consents and approvals, evaluate term sheets, deal structures, and token vesting, and provide counsel on governance and novel legal and regulatory fields.
  • Manage public portfolio company and securities law matters for the funds and work with the finance team on exit, sale, and distribution activities, and ongoing SEC filings and reporting.
  • Review and negotiate M&A transactions with respect to venture portfolio companies.
  • Provide guidance and oversight with respect to third-party subpoena and litigation matters.
  • Assist with fund formation, investor compliance, and limited partner reporting and relations matters as needed by finance and operations teams.
  • Advise on regulatory and compliance considerations related to digital assets and blockchain technology.
  • Draft, review, and negotiate a wide range of commercial agreements.
  • Provide practical, business-oriented advice in a fast-paced, high-performing environment.
  • Manage outside counsel relationships, legal budgets, and implement scalable legal operations processes.

Requirements

  • J.D. and active membership in at least one U.S. state bar.
  • Minimum of 8+ years of legal experience, including at least some time in a top-tier law firm and/or in-house environment.
  • Must have deep experience leading execution (including responsibility for negotiating and drafting key documents) and being the day-to-day point person
  • Demonstrated passion for and understanding of crypto, token warrants, SAFTs, token vesting, and other complexities specific to crypto
  • Strong ability to communicate complex legal concepts clearly to non-legal stakeholders.
  • Strategic thinker with sound business judgment and exceptional attention to detail.
  • Thrives in fast-paced environments with rapidly shifting priorities and evolving regulatory frameworks.
  • Collaborative, proactive, and intellectually curious. Comfortable building structure in ambiguity.

Compensation:

  • The salary range for this position is $350,000 to $450,000 per year (+ bonus + some carry of the fund). A candidate’s salary is determined by various factors, including, but not limited to, relevant work experience, skills, certifications, and location.
