In addition to their venture investments, they also partner with policymakers, thought leaders, and innovative regulators.
Responsibilities
- Support venture financings, including SAFEs, convertible instruments, and priced equity rounds, from term sheet through closing.
- Manage and maintain capitalization tables and equity records using Carta or similar platforms, ensuring accuracy across issuances, transfers, and conversions.
- Prepare, review, and organize financing and investor documentation, including subscription agreements, side letters, board and stockholder consents, and ancillary closing documents.
- Assemble, finalize, and maintain complete closing sets for financings, equity issuances, and other corporate transactions.
- Support ongoing corporate governance matters, with a primary focus on Delaware entities, including preparation of board and stockholder materials, written consents, minutes, and resolutions.
- Assist with entity maintenance and compliance, including formations, qualifications, annual filings, and coordination with registered agents.
- Coordinate closely with outside counsel on financings, governance matters, and other corporate transactions, tracking deliverables, timelines, and open items through completion.
- Maintain organized and accurate corporate records, including minute books, data rooms, and internal document repositories.
- Proactively identify gaps, inconsistencies, or risks in corporate records and escalate issues appropriately.
- Own discrete workstreams with minimal supervision, exercising sound judgment in prioritization, execution, and escalation.
- Collaborate cross-functionally with finance, legal, and operations teams to support corporate initiatives and transactions as needed.
Requirements
- 3-7+ years of experience as a corporate or venture paralegal, ideally with exposure to startups, funds, or a law firm VC practice.
- Experience with NVCA-style documents and early- to growth-stage companies is a strong plus.
- Must be highly organized, detail-oriented, and able to run processes independently.
- Adaptability and strong work ethic with a “no task too big or too small” mindset.
- Ability to interact across cultures and businesses, including working with a globally distributed team.
- Deep interest in developing a career in a mission-oriented firm.
- Relationship builder, team-oriented, and an excellent communicator.
- Familiarity with investments in India is a massive plus.
Compensation:
- The estimated annual base salary for this position is $150,000 – $180,000 + bonus.
